These terms govern the use of tsaexit.com and the materials published on it. They are written in plain English, on the assumption that the reader is a sophisticated professional. Advisory engagements are governed by a separate engagement letter, signed before any work begins.

tsaexit.com is operated by TSA Advisory LLC, a Delaware limited liability company. The firm provides buyer-side advisory services on Transition Services Agreements. References in these terms to "the firm" mean TSA Advisory LLC. References to "you" mean the user of the site or the reader of the firm's materials.
You may read, save, and print pages on tsaexit.com for personal or internal business use. You may not scrape the site, republish materials commercially, or use the firm's name, logo or content to imply an endorsement that does not exist.
If you forward a tsaexit.com page or a downloaded white paper inside your organization, you remain bound by these terms and so does anyone you forward to.
The white papers, case studies, glossary entries, blog posts and service pages on tsaexit.com are general professional commentary. They are not legal advice, financial advice, accounting advice or specific advice on any particular transaction. They are written to inform a professional reader.
Specific advice on a specific TSA is delivered under a specific engagement letter, to specific named individuals at a client, after the firm has reviewed the facts. The site is not a substitute for that.
No advisor client relationship is created by visiting the site, downloading a white paper, subscribing to the newsletter, booking a call or completing a form. An advisor client relationship is created only when the firm and the client both sign an engagement letter that defines scope, fee and term.
Engagement letters are individually negotiated. The terms on this page do not override anything agreed in an engagement letter.
The firm engages on a Fixed Fee basis for single matters and on a Portfolio Retainer basis for funds with multiple active TSAs. The firm does not offer contingency fees, savings share fees, performance based fees or hourly billing as commercial models. Fee structures are described on the Engagement Models page.
Out of scope work is handled by a written change order. The firm does not bill incremental hours against an open engagement without prior written agreement.
The firm is 100 percent buyer-side. The firm does not represent sellers in TSA negotiation, execution or dispute. The firm does not accept referral fees from vendors or providers that benefit from TSA work. The firm's only commercial relationship with a client is the engagement letter.
Conflict checks are run before every engagement. The firm declines engagements that would create a conflict with an existing client.
The firm owns the copyright in the materials on tsaexit.com unless a third party source is credited. Names, logos, taglines and proprietary frameworks used on the site are the property of the firm.
Client materials shared with the firm during an engagement remain the property of the client. The firm does not claim ownership of any client information.
The site is provided on an "as is" basis. The firm makes commercially reasonable efforts to keep content current and accurate, but does not warrant that every benchmark, statistic or example is up to date for every situation. The firm is not liable for actions taken in reliance on site content alone. Engaged clients are entitled to current and specific advice through their engagement letter.
To the maximum extent permitted by law, the firm is not liable for indirect, incidental, special or consequential damages arising from use of tsaexit.com. Liability arising from advisory engagements is addressed in the relevant engagement letter, which controls.
These terms are governed by the law of the State of Delaware. Disputes arising from these terms or from use of the site are subject to the exclusive jurisdiction of the courts of Delaware.
Engagement letters often select a different governing law that fits the client. The engagement letter controls for engagements.
These terms can change. The current version is always at this URL. The "Last updated" date at the top of the page reflects the most recent change. Continued use of the site after a change is acceptance of the change.
